Geschäftsbericht 2013
10. Juni 2014Die ayondo Holding AG (vormals Next Generation Finance Invest AG) hat heute den aktuellen Geschäftsbericht publiziert (dieser kann hier als PDF abgerufen werden).
Die Konsolidierung der Gesellschaften konnte erfolgreich abgeschlossen werden. Somit hält die ayondo Holding neu 99.91% an ayondo Markets (ehemals Gekko Global Markets) und 100% an ayondo Social Trading.
Die Kapitalisierung der Gesellschaft gemäss Net Asset Value liegt neu bei gut CHF 35 Mio (der Net Asset Value steht per 31.12.2013 bei CHF 84.14).

NextGFI – Einladung zur ausserordentlichen Generalversammlung vom 17. März 2014

Ende Januar haben wir Sie per Email über unseren neuen Investor Luminor Capital aus Singapur informiert. Es freut uns sehr, nun gemeinsam zusammen mit diesem Partner die hohen Ambitionen von Next Generation Finance Invest in Angriff nehmen zu können.
Wie angekündigt sind durch das Investment und die Anpassung unserer Strategie einige Veränderungen nötig, welche die Einberufung einer weiteren ausserordentlichen Generalversammlung erfordern.
Im Zentrum der ausserordentlichen Generalversammlung vom 17. März 2014 stehen folgende drei Themen:
1) Zuwahl eines neuen Mitgliedes des Verwaltungsrats: Mit der Wahl von Dr. Fatt Kah Foo in den Verwaltungsrat tragen wir dem Umstand Rechnung, dass Luminor Capital neuer Grossaktionär von Next Generation Finance Invest ist. Es freut uns natürlich sehr, dass Dr. Fatt Kah Foo als Gründungspartner von Luminor Capital, Next Generation Finance Invest im Verwaltungsrat zukünftig aktiv unterstützen möchte. Der Lebenslauf von Herrn Foo ist beigelegt.
2) Statutenänderungen: Durch die Anpassung der bisherigen Strategie und die zukünftige Tätigkeit als operative Holdinggesellschaft mit Fokus auf das Thema Social Trading ist es konsequent und sinnvoll, die gesamte Gruppe einheitlich und mit einem einzigen Brand weiterzuführen. Der Verwaltungsrat und das Management sind sich einig, dass sich hierfür „ayondo Holding“ am besten eignet und daher wird beantragt, die Firma dementsprechend anzupassen.
Die Änderung von Art. 13 Abs. 2 der Statuten ist eine rein formelle Anpassung (als Folge der Revision des Schweizer Aktienrechts nach der Annahme der „Minder-Initiative“).
3) Ordentliche Kapitalerhöhung: Um die von den NextGFI-Aktionären einstimmig beschlossene Umwandlung der bestehenden Investmentgesellschaft in eine operative Holdinggesellschaft durchführen zu können, ist die Schaffung von weiterem Kapital notwendig. Durch die Erhöhung des Aktienkapitals können die Anteile an unseren beiden Hauptinvestments SYCAP Group UK Ltd (Gekko Global Markets) und ayondo signifikant erhöht und die Konsolidierung wie geplant durchgeführt werden. Die bisherigen Aktionäre von SYCAP und ayondo werden ihre Anteile in NextGFI-Aktien umtauschen können (Kapitalerhöhung durch Sacheinlage ). Die Kapitalerhöhung dient also primär der Konsolidierung und Vereinfachung der bestehenden Aktionärsstruktur und es findet dadurch keine nennenswerte Verwässerung des Wertes der NextGFI-Aktien statt.
Der Verwaltungsrat und das Management der Next Generation Finance Invest AG sind davon überzeugt, dass mit der Umsetzung der an der nächsten ausserordentlichen Generalversammlung am 17. März 2014 traktandierten Anpassungen der Unternehmenswert langfristig und nachhaltig im Sinne der Aktionäre gesteigert werden kann und diese im Interesse der Gesellschaft liegen.
Wir freuen uns bereits darauf, gemeinsam mit Ihnen die nächsten Wachstumsschritte realisieren zu können und blicken einem ereignisreichen Jahr entgegen.

NextGFI – invitation to the Extraordinary General Meeting on 17 March 2014
24. Februar 2014Dear esteemed shareholders
At the end of January, we sent out an email informing you about our new investor, Luminor Capital from Singapore. We are now delighted to be able to work with this partner towards achieving the major ambi-tions of Next Generation Finance Invest.
As announced, some changes are necessary as a result of the investment and adaptation of our strategy, and we therefore have to convene another Extraordinary General Meeting.
The Extraordinary General Meeting, to be held on 17 March 2014, will address the following three issues:
1) Election of a new member of the Board of Directors: the election of Dr. Fatt Kah Foo to the Board of Directors reflects the fact that Luminor Capital is a new major investor of Next Generation Finance Invest. We are of course very happy that Dr. Fatt Kah Foo, as the founding partner of Luminor Capital, wants to actively support Next Generation Finance Invest in the future as part of the Board of Directors. The CV of Dr. Fatt Kah Foo is attached.
2) Amendments to the Articles of Association: with the adjustment of the existing strategy and the com-pany’s future position as an operating holding company with a focus on social trading, it is consistent and appropriate for the entire Group to be a uniform entity with a single brand. The Board of Directors and the management agree that ‘ayondo Holding’ is most suitable name for this purpose and a proposal is therefore made to adapt the company accordingly.
The amendment to Art. 13 para. 2 of the Articles of Association is merely a formal amendment (as a result of the revision made to Swiss company law after adoption of the Minder initiative).
3) Ordinary capital increase: additional capital must be created in order to carry out the transformation of the investment company into an operating holding company, which has been agreed unanimously by the NextGFI shareholders. Through an increase of the share capital, shares in our two principal investments, Gekko Global Markets and ayondo, can be increased significantly and the consolidation can be performed as planned. The existing shareholders of Gekko and ayondo will be able to convert their shares into NextGFI shares (capital increase by a contribution in kind). The capital increase serves primarily to consolidate and simplify the existing shareholder structure. Thus, there is no significant dilution of shares held by existing NextGFI shareholders.
The Board of Directors and management of Next Generation Finance Invest are convinced that implementation of the changes on the agenda at the Extraordinary General Meeting on 17 March 2014 will increase company value in the long term and over a sustained period of time for shareholders, and that these changes are in the company’s best interests.

- der administrative und regulatorische Aufwand kann damit stark vereinfacht werden
- durch den Wegfall von neuen gesetzlichen Bestimmungen (Stichwort „Minder-Initiative“) können diverse Kosten eingespart werden
- die OTC-X-Plattform erfreut sich eines regen Zulaufs und viele renommierte Unternehmen wie z.Bsp. die NZZ lassen ihr Aktien dort handeln (siehe https://www.otc-x.ch/markt/instrument/valor/12651797.html)
